Terms of Service

Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal authority to enter into these Terms — on your own behalf or, if you are using the Service for an organization, on behalf of that organization.

The Service

OnlySearch is a data agent for SEO, traffic, and competitive-intelligence research. It connects to data sources you authorize, processes natural-language questions, and returns analyses. Specific features evolve as the product develops; we may add, change, or remove features at our reasonable discretion. We will not remove features in a way that makes the Service materially less functional than what you signed up for without giving notice and a reasonable opportunity to export your data.

Account registration and security

Some parts of the Service require an account. You agree to:

• Provide accurate information when you register and keep it up to date.
• Keep your credentials confidential and not share your account.
• Notify us promptly at support@onlysearch.ai if you suspect unauthorized access.

You are responsible for all activity that occurs under your account.

Your data

The information and data you submit, upload, or connect to the Service ("Your Data") remain yours. By using the Service, you grant us a limited license to process Your Data solely to provide and improve the Service for you, in accordance with our Privacy Policy.

We do not use Your Data to train AI models, and we do not share Your Data with third parties except as described in the Privacy Policy.

You represent and warrant that:

• You have the rights necessary to submit Your Data to the Service.
• Your Data does not violate any law or any third-party rights.
• You will not attempt to use the Service to access information you are not authorized to access.

Acceptable use

You agree not to use the Service to:

• Break the law or facilitate the breaking of the law.
• Violate the rights of any person or entity, including intellectual-property, privacy, and publicity rights.
• Send malicious code, automated abuse, or unsolicited bulk communications.
• Interfere with or compromise the integrity, performance, or security of the Service.
• Attempt to reverse-engineer, decompile, or extract source code, except where applicable law expressly permits it.
• Resell, sublicense, or otherwise commercially redistribute the Service without our prior written consent.
• Scrape, crawl, or harvest data from the Service in ways that violate our rate limits or these Terms.
• Use the Service to build or train a competing product or service.

We may suspend or terminate access if we reasonably believe you have violated this section.

Subscription, fees, and billing

OnlySearch offers a free tier alongside paid plans. Specific plan pricing and feature availability are described on our website and may change with reasonable notice.

For paid plans:

• Subscriptions renew automatically on a monthly or annual cycle until you cancel.
• You can cancel at any time from your account; cancellations take effect at the end of the current billing period.
• Fees are non-refundable except where required by law or where we say otherwise in writing.
• We may change prices for future billing periods with at least 30 days' notice.
• Taxes are added where required by law.

You authorize us and our payment processor to charge your designated payment method for the fees you owe.

Beta features

While the Service is in beta or while specific features are labeled "beta," "alpha," "preview," or similar:

• The features may be incomplete, unstable, or changed without notice.
• They are provided as-is, without any service-level commitment.
• We may end the beta or remove features at any time.

Free-tier access during beta does not entitle you to a future free tier.

Intellectual property

Our IP. OnlySearch and its underlying software, models, designs, content, and trademarks are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. We reserve all rights not expressly granted.

Your IP. You retain all rights in Your Data. Nothing in these Terms transfers ownership of Your Data to us.

Outputs. Subject to your compliance with these Terms, you own the analyses, charts, written explanations, and other outputs the Service produces in response to your queries ("Outputs"). Because AI systems can produce similar Outputs to other users for similar queries, we make no claim that Outputs are unique to you.

Feedback. If you send us feedback or suggestions, we may use that feedback without restriction or obligation to you.

Third-party services

The Service relies on third-party providers — data sources, AI model providers, payment processors, hosting and infrastructure providers. Your use of those services is governed by their own terms. We are not responsible for third-party services beyond our reasonable control.

When you connect an external account to OnlySearch, you authorize us to access and process information from that account on your behalf in accordance with our Privacy Policy. You can disconnect the integration at any time.

Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

The Service produces analyses based on data it queries and AI-generated reasoning. Outputs may be incomplete, inaccurate, or out of date. You are responsible for evaluating Outputs before relying on them, especially for decisions with material business or legal consequences. We do not guarantee that Outputs will meet your requirements or be error-free.

Limitation of liability

To the fullest extent permitted by law, in no event will OnlySearch or its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or related to the Service — whether in contract, tort, or otherwise — even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or related to the Service will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the claim or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless OnlySearch and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service in violation of these Terms.
• Your Data, including any claim that Your Data infringes a third party's rights.
• Your violation of any applicable law.

Termination

You can stop using the Service at any time and close your account. We may suspend or terminate your access if you materially breach these Terms, if we reasonably believe your use creates a security or legal risk, or if we discontinue the Service.

When your account ends, your right to access the Service ends immediately. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

If you are a consumer accessing the Service from a jurisdiction whose law gives you mandatory rights inconsistent with this section, the law of that jurisdiction governs to the extent required.

Changes to these Terms

We may update these Terms as the Service evolves or as the law requires. When we do:

• We post the updated Terms here with a new "Last updated" date.
• For material changes, we give at least 30 days' notice in-product or by email before they take effect, where reasonably practical.
• Continuing to use the Service after the changes take effect means you accept the updated Terms.

If you don't agree with the changes, your remedy is to stop using the Service before the changes take effect.

Miscellaneous

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.

No waiver. A failure or delay in enforcing any provision of these Terms is not a waiver of our rights.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a corporate transaction, with notice.

Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced from them, are the entire agreement between you and OnlySearch regarding the Service and supersede any prior agreements.

Force majeure. Neither party is liable for any delay or failure in performance to the extent caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, internet or utility outages, and similar events.
